Flacron Lead Agent · Legal

Terms of Service

Effective date: · Provider: Flacron Enterprises LLC

These Terms of Service ("Terms") govern access to and use of Flacron Lead Agent. The EULA, Privacy Policy, Cancellation & Refund Policy, Disclaimer, Cookies Policy, order forms, and any signed enterprise or data-processing agreement are incorporated by reference.

3.1 Eligibility and Authority

You must be legally capable of entering a binding contract and, if using the Services for an organization, authorized to bind that organization. You must provide accurate account and billing information and keep it current.

3.2 Customer Responsibilities

  • Use FLA only for lawful business purposes and only with data, content, accounts, audiences, and recipients you are authorized to use.
  • Maintain compliant privacy notices, consent records, lawful-basis records, opt-out methods, suppression lists, do-not-contact controls, and internal approval procedures.
  • Comply with anti-spam, telemarketing, texting, privacy, advertising, consumer protection, recording, employment, discrimination, intellectual property, export, sanctions, and sector-specific laws that apply to your campaigns and markets.
  • Comply with third-party provider terms, acceptable-use policies, developer policies, API restrictions, ad policies, telecom rules, and data-license limitations.
  • Review Super Intelligence-generated or automatically proposed content before use where required by law, your policies, or FLA controls.
  • Protect credentials, API keys, OAuth connections, sending domains, mailboxes, ad accounts, phone numbers, and user access.

3.3 Messaging and Outreach Rules

You may not use FLA for spam, harassment, deceptive outreach, unlawful bulk messaging, or communications to suppressed or ineligible recipients. A verified email address or commercially available contact record does not by itself establish consent or a lawful basis to send a message. Unsubscribe, complaint, hard-bounce, and do-not-contact signals must be honored promptly.

FLA may pause or block sending when authentication fails, billing is suspended, complaint or bounce thresholds are exceeded, provider access is lost, suppression checks fail, or the activity presents elevated legal, deliverability, security, or platform-policy risk.

3.4 SMS, WhatsApp, Voice, and Call Recording

Where these channels are enabled, you are responsible for required prior consent, opt-out language, sender identification, registration, quiet hours, message templates, recording disclosures, and call-consent rules. You may not use FLA to place unlawful robocalls, spoof caller identity, evade carrier controls, or record communications without legally required notice or consent.

3.5 Advertising and Flacron Super Intelligence Ads

Flacron Super Intelligence Ads may help plan, create, launch, monitor, optimize, and attribute campaigns through supported advertising APIs. Availability depends on account eligibility, app review, provider permissions, geographic availability, and platform rules. You authorize FLA to act on connected ad accounts only within the permissions and budget controls you configure.

Ad spend is separate from FLA subscription and add-on fees. Unless expressly agreed otherwise, advertising networks bill you directly. Forecasts for impressions, leads, conversions, CPA, CPL, ROAS, pipeline, or revenue are estimates, not guarantees. You are responsible for advertising claims, disclosures, landing pages, offers, pricing, intellectual property rights, prohibited categories, audience eligibility, and applicable advertising laws.

3.6 Human Approval and Automation

FLA supports different autonomy modes. No new campaign should begin merely from silence or an expired notification unless you have previously enabled a specific supervised auto-start configuration and the Platform’s final authorization checks pass. Material changes to targeting, sender identity, message content, offers, budgets, or compliance settings may require reapproval.

Emergency stop, workspace pause, campaign pause, mailbox pause, suppression, unsubscribe, complaint, billing, and provider-policy blocks override automation. Critical actions such as custom pricing, contracts, refunds, legal responses, security responses, and other consequential commitments remain human-controlled unless a separate written policy expressly authorizes them.

3.7 Lead Data, Enrichment, and Verification

Lead-data credits and verification tools represent access to third-party data or processing events, not a guarantee that any record is accurate, current, deliverable, eligible for contact, or likely to convert. You must independently evaluate suitability and comply with provider licensing and applicable law. Verification may consume a billable event even when the result is invalid, risky, catch-all, unknown, or otherwise unusable if the provider charges for the check.

3.8 Super Intelligence Outputs, Scores, and Forecasts

Super Intelligence outputs may contain errors, omissions, outdated information, or inappropriate recommendations. Fit scores, intent scores, forecasts, attribution models, pipeline values, conversion estimates, and recommendations are decision-support tools only. They are not guarantees of customer interest, sales, revenue, ad performance, deliverability, legal compliance, or business outcome.

3.9 Customer Content and Intellectual Property

You represent that you have the rights and permissions necessary for content, lists, customer data, media, logos, trademarks, creatives, documents, testimonials, pricing, and other materials you provide. You must not instruct FLA to generate or distribute content that infringes third-party rights or makes deceptive, unsubstantiated, or unlawful claims.

3.10 Subscription Plans, Add-ons, and Usage

Paid subscriptions and add-ons may include limits on users, mailboxes, lead credits, verification events, Super Intelligence processing, outbound email capacity, monitored accounts, messaging, voice minutes, API requests, published pages, or other resources. Plan limits, provider restrictions, fair-use controls, safety controls, and regional availability apply even where you purchase additional capacity.

Subscription/add-on fees, advertising spend, telecom charges, and internal lead/Super Intelligence usage are separate categories. Purchasing usage capacity does not authorize activity that is otherwise blocked by law, provider policy, consent requirements, deliverability controls, or Platform safety rules.

3.11 Fees, Billing, Renewal, and Taxes

Unless otherwise stated, subscriptions automatically renew for the same billing interval until canceled. You authorize the applicable payment processor to charge recurring subscription fees, recurring add-ons, and authorized usage or overage charges. Prices may change on advance notice. Taxes, carrier charges, platform fees, data-provider charges, ad spend, and other pass-through costs may be additional where disclosed.

Upgrades may take effect immediately and may be prorated. Downgrades generally take effect at the next renewal date unless otherwise stated. Failure to pay may result in a grace period, read-only access, pause of new campaigns or paid provider actions, and eventual suspension.

3.12 Trials, Promotions, and Credits

Trials, coupons, promotional credits, free allowances, and partner offers may have separate conditions, expiration dates, eligibility requirements, and usage limits. Unless expressly stated, promotional value is non-transferable, non-refundable, and has no cash value.

3.13 Service Availability

We aim to provide reliable service, but availability can be affected by maintenance, outages, internet failures, model providers, data vendors, telecom carriers, advertising networks, email systems, cloud providers, platform-policy changes, or events outside our control. Any service level commitment applies only if stated in a signed agreement.

3.14 Suspension

We may restrict or suspend access to protect Flacron, customers, recipients, providers, or the public; respond to legal requests; prevent abuse; address payment failure; or investigate security, fraud, deliverability, data-license, or platform-policy concerns.

3.15 Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Flacron Enterprises LLC and its affiliates, officers, employees, contractors, and agents from claims, losses, liabilities, damages, penalties, and reasonable costs arising from your content, campaigns, audiences, data, communications, advertising, telecom activity, connected accounts, breach of these Terms, violation of law, or infringement of third-party rights.

3.16 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLACRON WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, SALES, GOODWILL, DATA, OR BUSINESS OPPORTUNITY; ADVERTISING SPEND; TELECOM FEES; PROVIDER CHARGES; OR LOSSES ARISING FROM FAILED DELIVERY, PLATFORM SUSPENSION, THIRD-PARTY SERVICES, Super Intelligence OUTPUTS, OR CUSTOMER CAMPAIGNS. EXCEPT WHERE LAW PROHIBITS A LIMIT, FLACRON’S AGGREGATE LIABILITY ARISING FROM THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO FLACRON FOR THE AFFECTED SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

3.17 Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, unless another governing law is required by a signed agreement or non-waivable law. Before initiating formal proceedings, the parties agree to attempt in good faith to resolve disputes through written notice and informal negotiation for at least 30 days.

To the extent enforceable, disputes that cannot be resolved informally will be resolved by binding individual arbitration administered by a recognized arbitration provider under its applicable commercial rules, rather than by jury trial. Class or representative proceedings are waived to the extent permitted by law. A customer may opt out of this arbitration clause by sending written notice to contact@flacronenterprises.com within 30 days after first accepting these Terms. Claims eligible for small-claims court may be brought there.

3.18 Changes

We may update these Terms. Material changes will be communicated where required. If you do not agree to an update, you must stop using the Services and cancel before the change becomes effective, except where immediate changes are required by law, security, or provider obligations.
